End User License Agreement

This End User License Agreement governs access to and use of the purityscience.com software and services, operated by Purity Science, Inc. It applies to every account holder and authorized representative of a verified organization. Product purchases are governed by the Terms of Service; personal-information handling is described in the Privacy Policy.
§01
Agreement and scope
This End User License Agreement ("EULA") is a binding contract between Purity Science, Inc.("Purity Science," "we," "our," or "us") and the organization or licensed practitioner that accesses or uses the Software ("you," "End User"). The "Software" means the purityscience.com website, the authenticated customer, organization-manager, and representative portals, associated applications, APIs, documentation, and any updates to them.
This EULA governs your license to access and use the Software. The purchase and supply of physical products, eligibility verification, pricing, payment, shipping, refunds, and dispute resolution are governed by our Terms of Service, which are incorporated by reference. If this EULA and the Terms of Service conflict, the Terms of Service control with respect to product orders and commercial terms, and this EULA controls with respect to the Software license. Our Privacy Policy describes how we handle personal information collected through the Software.
By creating an account, signing in, or otherwise using the Software, you accept this EULA on your own behalf and on behalf of the organization you represent, and you represent that you have authority to bind that organization. If you do not accept this EULA, do not access or use the Software.
§02
License grant
Subject to your continued compliance with this EULA and the Terms of Service, Purity Science grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software, solely:
- for your internal business purposes as a verified healthcare organization, pharmacy, or authorized representative;
- to browse the catalog, manage your account and organization, place and track orders, retrieve invoices and Certificates of Analysis, and communicate with our support team; and
- through the interfaces we provide, on devices and browsers under your control.
The Software is licensed, not sold. We reserve all rights not expressly granted in this EULA.
§03
License restrictions
Except as expressly permitted by this EULA or by applicable law that cannot be waived, you will not, and will not permit any third party to:
- copy, modify, adapt, translate, or create derivative works of the Software;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such restriction is prohibited by applicable law;
- rent, lease, lend, sell, resell, sublicense, distribute, or otherwise transfer the Software or access to it, including sharing account credentials with persons outside your organization;
- scrape, crawl, harvest, or bulk-extract data from the Software, or access the Software by any automated means (bots, headless clients) other than interfaces we document for that purpose;
- probe, scan, or test the vulnerability of the Software, circumvent or attempt to circumvent any security, authentication, rate-limiting, or eligibility-gating measure, or access data or accounts you are not authorized to access;
- interfere with or disrupt the integrity or performance of the Software, including by introducing malware or initiating denial-of-service activity;
- remove, obscure, or alter any proprietary notices on the Software;
- use the Software to develop a competing product or service, or for competitive benchmarking without our prior written consent;
- use the Software in violation of any applicable law or regulation, or for any purpose other than the lawful procurement and management of products for authorized clinical use; or
- misrepresent your identity, credentials, licensure, or organizational affiliation in connection with the Software.
§04
Eligibility and accounts
The Software is a business-to-business platform for verified licensed healthcare practitioners, clinics, and pharmacies in the United States. Eligibility, verification, and approval requirements are described in the Terms of Service. The Software is not directed to consumers or to minors, and you may not use it if you are under 18 years of age.
You are responsible for all activity under your account credentials, for keeping those credentials confidential, and for promptly notifying us at support@purityscience.com of any suspected unauthorized use. We may suspend or revoke access where we reasonably suspect credential compromise or misuse.
§05
Intellectual property and feedback
The Software — including its design, text, graphics, logos, product copy, verification and traceability systems, and underlying code — is owned by Purity Science or its licensors and is protected by copyright, trademark, trade-secret, and other intellectual-property laws. "Purity Science" and associated marks may not be used without our prior written permission.
If you submit suggestions, ideas, or other feedback about the Software, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation or compensation to you. Feedback does not include your confidential business data.
Data you submit through the Software (organization details, order data, uploaded credentialing documents) remains yours; you grant us the rights needed to operate the Software and fulfill orders as described in the Privacy Policy.
§06
Third-party services and components
The Software interoperates with third-party services that we use to operate the business. Your use of those services through the Software may be subject to the third party's own terms and privacy notices:
- Intuit QuickBooks (invoicing and payments).Invoices for orders are generated through Intuit's QuickBooks platform, and where online payment is offered, the payment service is provided by Intuit Payments Inc. When you pay an invoice through Intuit's hosted payment page, your payment card or bank details are collected and processed directly by Intuit and are subject to Intuit's terms of service and privacy statement; they are not stored on Purity Science systems.
- Shipping carriers for delivery and tracking of physical shipments.
- Cloud infrastructure, database, and transactional-email providers used to host and operate the Software, as described in the Privacy Policy.
We are not responsible for third-party services we do not control, but we select and contract with providers under data-protection commitments described in the Privacy Policy. The Software may include open-source components licensed under their own terms; nothing in this EULA limits your rights under those licenses.
§07
Privacy
Our collection, use, sharing, retention, and protection of personal information in connection with the Software are described in the Privacy Policy. By using the Software you acknowledge the practices described there, including the transmission of billing and order details to Intuit QuickBooks for invoicing and payment processing.
§08
Updates, availability, and support
We may update, modify, or discontinue features of the Software at any time. Updates are applied server-side; no action is generally required from you. We aim to keep the Software available continuously, but availability is not guaranteed and the Software may be temporarily unavailable for maintenance, upgrades, or events outside our reasonable control.

§09
Term, suspension, and termination
This EULA takes effect when you first access the Software and continues until terminated. You may terminate it at any time by closing your account and ceasing use of the Software.
We may suspend or terminate your license, with or without notice, if you materially breach this EULA or the Terms of Service, if your eligibility or licensure lapses, if required by law, or if we reasonably believe continued access creates risk to the Software, other users, or product-distribution compliance. Where practicable, we will give notice and an opportunity to cure before termination for breach.
Upon termination, the license granted under this EULA ends and you must cease use of the Software. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive termination. Records retained after termination are handled per the retention schedule in the Privacy Policy.
§10
Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, TO THE FULLEST EXTENT PERMITTED BY LAW.
Product-specific warranties, certificates of analysis, and quality commitments for physical products are addressed exclusively in the Terms of Service. Nothing in the Software constitutes medical advice; clinical decisions remain the sole responsibility of the licensed practitioner.
§11
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PURITY SCIENCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
PURITY SCIENCE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PURITY SCIENCE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, the limitations apply to the fullest extent permitted. The limitations in this section do not apply to liability that cannot be limited by law, to a party's indemnification obligations, or to your breach of the license restrictions in §03.
§12
Indemnification
You will defend, indemnify, and hold harmless Purity Science and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of this EULA; (b) your misuse of the Software; (c) your violation of applicable law or the rights of a third party in connection with the Software; or (d) inaccurate licensure, credentialing, or eligibility information you provide. We will give you prompt notice of any such claim and reasonable cooperation, at your expense.
§13
Export control and sanctions
The Software is operated from, and offered only within, the United States. You represent that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list. You will not access or use the Software in violation of U.S. export-control or sanctions laws.
§14
Governing law and dispute resolution
This EULA is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Disputes arising out of or relating to this EULA are resolved in the same manner as disputes under the Terms of Service — good-faith informal resolution first, then binding individual arbitration administered by JAMS in Wilmington, Delaware, with the same class-action and jury-trial waiver and the same thirty (30) day arbitration opt-out, all as set out in the Terms of Service's "Governing law and dispute resolution" section.
§15
General
This EULA, together with the Terms of Service and Privacy Policy, is the entire agreement between you and Purity Science regarding the Software and supersedes any prior agreements on that subject. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign this EULA without our prior written consent; we may assign it in connection with a merger, acquisition, or sale of assets. Notices to you may be provided by email to the address on your account or by posting within the Software.
We may update this EULA from time to time. Material changes will be posted on this page with a new effective date and, where appropriate, communicated to active accounts by email. Continued use of the Software after the new effective date constitutes acceptance of the updated EULA.
